STANDARD TERMS AND CONDITIONS OF SALE

These Terms & Conditions of Sale (“Terms”) govern all purchases made through The Caulking Store website and in connection with any account, invoice, or transaction with The Caulking Store (“Company,” “we,” “our,” or “us”). By placing an order or using an account, you agree to these Terms.


1. ACCEPTANCE OF TERMS

By accessing the Website, placing an order, or purchasing products, you agree to be bound by these Terms. If you do not agree, you must not place an order.


2. PRODUCT INFORMATION

We make reasonable efforts to ensure product descriptions, specifications, pricing, and availability are accurate. However:

Customers are responsible for confirming product suitability prior to purchase and use.

  • Images are for illustration only
  • Actual products may vary from descriptions or images
  • Manufacturers may change specifications without notice
  • We do not guarantee information is error-free or current
3. PROFESSIONAL USE DISCLAIMER

Many products are professional-grade construction materials intended for trained users.


The customer acknowledges:

  • Proper application is critical to performance
  • Results depend on site conditions, installation methods, and environment
  • The Company does not supervise installation or jobsite conditions

All responsibility for selection, application, and use rests with the customer.


4. ORDERS

All orders are subject to acceptance by The Caulking Store.

We reserve the right to:

    • Refuse or cancel any order

    • Limit quantities

    • Correct pricing errors

    • Require verification before acceptance

A contract is formed only when goods are shipped or released for pickup.


5. PRICING

Prices may change without notice. Errors may occur. If a pricing error is identified, we reserve the right to cancel the order and issue a refund. Taxes, shipping, and additional fees may apply.


6. PAYMENT

Payment is required prior to shipment or pickup unless credit terms are approved.

We may refuse or cancel transactions suspected of fraud or unauthorized activity.


7. SHIPPING & DELIVERY

Delivery dates are estimates only. We are not responsible for delays caused by carriers, suppliers, weather, customs, or events beyond our control. Risk of loss transfers upon delivery to carrier or pickup. Customers must inspect shipments immediately. Damage or shortages must be reported within 48 hours of time of purchase.


8. PICKUP ORDERS

Customers are responsible for verifying all items at pickup. Claims after departure may be denied.


9. RETURNS

All returns require prior authorization.


Return Conditions:

    • Receipt must be present

    • Must be requested within 30 days of purchase

    • Must be unopened, unused, and resalable

    • Must include original packaging

Non-Returnable Items:

    • Special-order or custom products

    • Clearance or final sale items

    • Opened or used products

    • Hazardous materials

    • Expired or shelf-life sensitive products

Restocking Fee:

All approved returns are subject to a 15% restocking fee, deducted from the refund amount.

Original shipping charges are non-refundable. Customers are responsible for return shipping costs unless the return is due to Company error.

We reserve the right to inspect all returns and deny refunds if conditions are not met.


10. WARRANTY DISCLAIMER

Products are sold “as-is” to the fullest extent permitted by law.

We disclaim all warranties, including merchantability, fitness for a particular purpose, and performance guarantees, except where manufacturer warranties apply.


11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, The Caulking Store shall not be liable for:

    • Loss of profits or revenue

    • Injuries at store, home or jobsite: commercial or residential

    • Project delays or labour costs

    • Installation or removal costs

    • Property damage from improper use

    • Indirect or consequential damages

Total liability shall not exceed the amount paid for the product in question.


12. TECHNICAL INFORMATION & ADVICE

Any guidance provided is for informational purposes only and does not create any warranty or liability.

Customers are solely responsible for:

    • Product selection

    • Testing and compatibility

    • Compliance with manufacturer instructions and building codes

13. CUSTOMER RESPONSIBILITY

Customers must ensure compliance with all applicable:

    • Building codes

    • Safety regulations

    • Industry standards

    • Environmental laws

14. FORCE MAJEURE

We are not liable for failure or delay due to events beyond our control, including natural disasters, supply disruptions, labour disputes, pandemics, or government actions.


15. WEBSITE USE

Unauthorized use of the Website or interference with its operation is prohibited.


16. INTELLECTUAL PROPERTY

All Website content is owned by The Caulking Store and may not be reproduced without permission.


17. INDEMNIFICATION

Customers agree to indemnify and hold harmless The Caulking Store from claims arising from misuse of products, improper installation, injuries, or breach of these Terms.


18. GOVERNING LAW

These Terms are governed by the laws of the Province of Ontario and applicable Canadian law.


19. DISPUTE RESOLUTION

Disputes shall first be addressed through good-faith negotiation. If unresolved, they shall be brought exclusively in Ontario courts.


20. SEVERABILITY

If any provision is found unenforceable, the remaining Terms remain in effect.


21. ENTIRE AGREEMENT

These Terms represent the entire agreement between the parties.


22. CHANGES TO TERMS

We may update these Terms at any time. The version in effect at the time of purchase applies.


23. CUSTOMER ACCOUNTS & CREDIT TERMS

The Caulking Store may offer approved customers the ability to purchase on account. Credit approval is discretionary and may be modified or revoked at any time.


Credit Approval:

    • Subject to application, review, and approval

    • Credit limits may be assigned or adjusted at any time

Payment Terms:

    • All invoices must be paid in full by the stated Term Date

    • Customers are responsible for ensuring timely payment regardless of internal delays

Late Payments:

If payment is not received by the Term Date:

    • Accounts may be placed on hold immediately

    • Interest may be charged at the maximum legal rate

    • Collection costs, including legal and agency fees, may be recovered where permitted

Account Suspension:

We reserve the right to:

    • Suspend or revoke credit privileges at any time

    • Refuse future orders until balances are cleared

    • Require prepayment for future purchases

Title & Risk:

Title remains with The Caulking Store until payment is received in full. Risk transfers upon delivery or pickup.


Disputed Invoices:

Disputes do not relieve the customer of the obligation to pay undisputed amounts by the Term Date.
